BriaCell Announces Non-Brokered Private Placement

BriaCell Therapeutics Corp. (TSX VENTURE:BCT)(OTCQB:BCTXF) (“BriaCell”, the “Company”, or “BCT”) announced today that it intends to complete a non-brokered private placement (the “Offering”) of units of the Company (the “Units”) at a price of $0.20 per Unit for aggregate gross proceeds of up to C$600,000. The Offering is in addition to the Company’s proposed strategic C$650,000 investment with a leading US biotechnology fund announced earlier today. Under the Offering, each Unit shall consist of one common share in the capital of the Company (a “Common Share”) and one-half of one Common Share purchase warrant (each whole warrant, a “Warrant”). The Warrants will be valid for 24 months following the date of closing of the Offering and each Warrant will be exercisable for one Common Share at an exercise price of $0.30 if exercised during the initial 12 months and $0.35 if exercised during the subsequent 24 months following the date of closing of the Offering.

The Company intends to use the proceeds from the Offering toward the Company’s Phase I/IIa clinical trial, for advancing the BriaCell R&D program and companion diagnostic platform known as BriaDx™, and for general corporate purposes.

The Offering is expected to close on or about April 29, 2016, and is subject to the approval of the TSX Venture Exchange and other customary closing conditions.
